1. GENERAL INFORMATION AND BINDING AGREEMENT
This document constitutes a legally binding adhesion contract entered into by and between any individual or legal entity accessing, browsing, registering for, purchasing, or using the digital solutions and cloud infrastructure provided at pawebzar.com or any associated subdomains (hereinafter referred to as the "Client", "User", "Reseller", or "Affiliate") and Sadiam Fraga LLC (hereinafter referred to interchangeably as "We", "Us", "Our", "Pawebzar", or the "Company"), a limited liability company duly organized and existing under the laws of the State of Colorado, United States of America.
By clicking "Buy Now", "Subscribe", "Start Now", checking affirmative consent boxes on our checkout pages, registering an account, or consuming any technological resource hosted within our infrastructure, the User expressly warrants having full legal capacity to enter into binding agreements and voluntarily agrees to be strictly bound by these Terms and Conditions, as well as the following ancillary operational policies incorporated herein by reference:
If you do not accept, understand, or agree to all provisions contained within this contract, you must immediately cease all access, subscription, or utilization of our services.
2. SERVICE MODALITIES AND SCOPE OF WORK
Pawebzar provides a diversified suite of web solutions, cloud infrastructure, and software licenses structured under four distinct operational lines:
2.1. Assisted Web Design and Maintenance Service ("Turnkey Done-For-You" Model)
This service entails the custom design, front-end structure assembly, mobile optimization, managed cloud hosting, ongoing SSL certificate enforcement, and continuous technical maintenance executed directly by our professional team:
- Scope of Service: Each subscription strictly covers one (1) single primary website connected to one (1) designated domain name.
- Architecture and Capacity Limits per Plan:
- Start Plan: Includes 1 primary landing page (single-page site). Strictly limited to a maximum vertical height of up to five (5) standard content sections/blocks.
- Pro Plan: Includes up to 3 dedicated internal pages. Each internal page is strictly limited to a maximum vertical height of up to five (5) standard content sections/blocks.
- Business Plan: Includes up to 6 dedicated internal pages (up to 5 standard vertical blocks per page) plus advanced 2-layer reveal interactive animations and 3D cursor-guided motion effects.
- Enterprise Plan: Includes up to 10 dedicated internal pages (up to 5 standard vertical blocks per page), 3D scroll animations, and ultra-fluid 60 FPS video-scroll integration.
- Monthly Maintenance and Revision Allowances: Revision requests do not roll over or accumulate between billing cycles and are strictly limited according to the active tier: Start (1 revision per month), Pro (3 revisions per month), Business (6 revisions per month), and Enterprise (10 revisions per month). A "revision" is strictly defined as updating existing textual copy, modifying contact details, replacing images/banners, or adjusting hyperlinks within the existing layout; it does not encompass full website redesigns, restructuring core site architecture, or adding pages outside the original plan quota.
- Server Storage Capacity: Storage quotas are assigned strictly per plan (30 GB for Start, 60 GB for Pro, 100 GB for Business, and Extended Storage for Enterprise, subject to Fair Use policies).
- Operational Delegation and Modern Tooling: Pawebzar retains full technical and operational discretion to assign coding, layout assembly, or customer support tasks to vetted technical personnel or independent contractors. We utilize advanced automation systems, specialized software, and artificial intelligence (AI) models to expedite workflow, code delivery, and technical quality assurance.
2.2. Website Builder Software License ("Do-It-Yourself" SaaS Model)
This service grants a limited, revocable, non-exclusive, non-transferable, cloud-based Software-as-a-Service (SaaS) license to access our proprietary visual drag-and-drop website editor:
- User Autonomy: The User holds sole and exclusive responsibility for the design, structural layout, copywriting, visual assembly, third-party payment gateway integration, and live deployment of their pages.
- Plan Quota: The Essential Plan provides creation capacity for up to 15 dedicated multi-section pages within the cloud platform.
- Exclusion of Design Assistance: This tier does not include manual web design services from our staff. Pawebzar accepts no liability for layout misalignment, responsive visual errors, or server issues resulting from custom HTML, JavaScript, or CSS code injected directly by the User into the visual canvas.
2.3. Reseller / White-Label Program
Grants the User commercial exploitation rights to operate a multi-tenant agency infrastructure under their own private brand:
- Capacity: Allocation of independent client sub-accounts/seats based on the selected tier (50 client seats in the Reseller Monthly Plan; 100 client seats in the Reseller Annual Plan). Each seat permits hosting one (1) active website with a custom domain for a designated end-client.
- Cloned Agency Website: As part of technical deployment, Pawebzar provides a pre-built, conversion-optimized agency website hosted on our infrastructure and connected to the Reseller's custom domain to enable prospective client acquisition.
- Complete Fiscal and Legal Independence: The Reseller operates strictly as an independent commercial contractor and not as an employee, partner, joint venturer, or franchisee of Sadiam Fraga LLC. The Reseller is exclusively liable—civilly, criminally, and fiscally—toward their end-clients. The Reseller collects 100% of their revenues through their own payment gateways (Stripe, PayPal, crypto, merchant accounts, etc.). Pawebzar never intercepts, processes, or holds funds transacted between the Reseller and their end-clients.
- Exclusion of End-Client Support: Pawebzar provides zero customer service, tech support, or billing assistance to the Reseller's end-clients. Technical support is strictly reserved for the primary Reseller account holder.
- Minimum Advertised Price (MAP Policy): The Reseller is contractually prohibited from retailing plans or client seats at prices lower than Pawebzar’s official public retail rates. Violation of this clause constitutes grounds for immediate termination of the Reseller account.
2.4. Affiliate Program (Two-Tier Technical Architecture)
- Tier 1 (Standard Affiliate - Free Access): Free registration granting an ongoing 30% monthly recurring commission on net subscription revenues paid by active clients directly referred through the Affiliate's unique tracking link.
- Tier 2 (VIP Affiliate - Optional $27.00 USD One-Time Fee): An optional technical configuration upgrade enabling two-tier commission tracking, granting a 10% monthly recurring commission on sales generated by sub-affiliates directly recruited under their immediate tier. The one-time $27.00 USD payment constitutes an administrative software setup fee and advanced dashboard license; it is final, non-refundable, and carries no guarantee of passive income or financial return. The affiliate program terminates strictly at this second tier and under no circumstances operates as a Multi-Level Marketing (MLM) program or pyramid promotional scheme.
- Disbursement Conditions: Approved commissions are disbursed exclusively via PayPal following a mandatory thirty (30) calendar day technical maturation/holding period calculated from the transaction date, provided the sale has not been subjected to cancellations, refunds, or payment disputes.
- Strict Prohibition of Self-Referrals: Affiliates are strictly prohibited from using their personal affiliate tracking links to purchase subscriptions, software, or services for their own use or associated businesses. Any detected self-referral will result in the immediate forfeiture and cancellation of all accrued commissions, permanent termination of the affiliate account, and suspension of any service illicitly acquired.
3. PRICING, BILLING, AND AUTOMATIC SUBSCRIPTION RENEWALS
- Billing Currency: All prices, rates, and subscription fees displayed across our platform are denominated, calculated, and billed exclusively in United States Dollars (USD).
- Billing Entity: All financial transactions are formally billed and collected under the corporate entity Sadiam Fraga LLC, Greeley, CO 80634-9283, United States.
- Secure Payment Processors: Payments are processed via external, PCI-DSS compliant payment gateways (including Stripe, PayPal, ThriveCart, and certified merchant accounts). Pawebzar does not capture or store unencrypted payment card numbers or security CVV/CVC codes on its internal databases.
- Automatic Recurring Renewal Authorization: By completing an order for any recurring plan (whether billed on a monthly, annual, or biennial basis), the User explicitly authorizes Sadiam Fraga LLC to automatically charge the designated payment method on file at the commencement of each recurring billing cycle for the applicable renewal rate, until the subscription is formally cancelled in accordance with our procedures.
4. DOMAIN REGISTRATION POLICY AND TRANSFER RELEASE FEE ($99.00 USD)
- Promotional Free Domain Benefit: The promotional "Free Domain for 1 Year" benefit applies exclusively to subscriptions purchased and paid upfront on an Annual or Biennial (2-Year) basis across our assisted design plans, software builder annual plans, and annual reseller subscriptions. Monthly billing cycles do not include a complimentary domain registration.
- Registrar Administration and Technical Control: In order to ensure server routing stability, SSL certificate verification, and DNS integrity, domains secured or managed under promotional terms are registered and maintained through our technical wholesale registrar channels under Pawebzar's administrative management. The Client retains exclusive beneficial usage rights to the domain name throughout the active lifespan of their paid subscription.
- Administrative Transfer & Release Fee ($99.00 USD): The Client acknowledges that promotional domain names are subsidized based on continuous subscription tenure. Should the Client or Reseller cancel their underlying subscription and request the external release, EPP/AuthCode authorization, and transfer of the domain name to their own third-party registrar, the Client must first pay a mandatory, non-refundable Administrative Transfer and Release Fee of ninety-nine United States Dollars ($99.00 USD). This fee compensates for technical DNS reconfiguration, registrar authorization unlocking, and the unamortized initial acquisition subsidy.
- Domain Abandonment: If a subscription lapses into non-payment or cancellation and thirty (30) calendar days elapse without the Client submitting a formal transfer request accompanied by the $99.00 USD release fee, Pawebzar reserves the full legal right to allow the domain to expire, decline renewal, or delete it from the registrar registry without any liability or compensation owed to the Client.
5. INTELLECTUAL PROPERTY, SOURCE CODE, AND PROPRIETARY RETENTION
- Platform and Code Ownership: All software code, visual canvas frameworks, databases, server-side scripts, styling methodologies, dynamic motion libraries (WebGL, interactive scroll animations), pre-built cloneable agency templates, and underlying architectural files remain the exclusive, inalienable intellectual property of Sadiam Fraga LLC or its third-party licensors.
- Absolute Non-Portability of Source Code: The Client’s payment grants only a temporary, limited license to access, view, and utilize the hosted website while maintaining an active, fully paid subscription. Under no circumstances will Pawebzar package, export, provide, download, migrate, or transfer raw source code files (HTML, CSS, JavaScript), database dumps, or design architecture to the Client or external third-party hosting servers. All websites constructed under this service operate and function exclusively within Pawebzar’s proprietary cloud environment.
- Ownership of Client-Supplied Content: The Client retains full, unencumbered ownership of all corporate trademarks, business logos, text copy, graphic assets, product images, and data provided to Pawebzar for assembly. The Client warrants under penalty of law that it owns all necessary legal rights or holds valid licenses for all submitted content, agreeing to defend, indemnify, and hold harmless Sadiam Fraga LLC from any third-party copyright, trademark, or intellectual property claims.
6. ACCOUNT LIFECYCLE, SUSPENSION, AND ABANDONMENT PROTOCOLS
6.1. Direct Client Account Suspension for Non-Payment
- Day 0 (Billing Due Date / Payment Failure): Public access to the website or visual software builder is immediately deactivated, and the site is taken offline.
- Grace & Data Retention Period (Days 1 to 30): The website data, system configurations, and visual assets are held safely in a dormant state on our cloud servers for up to thirty (30) calendar days to facilitate account reactivation upon settlement of outstanding dues.
- Day 31 (Permanent File Deletion): Upon expiration of the 30-day grace period without full account reactivation, the entire website, database records, and server backups are permanently and irretrievably purged from our infrastructure. Sadiam Fraga LLC bears no responsibility for data loss resulting from post-grace-period termination.
6.2. Reseller Account Abandonment and Service Continuity Safeguard
In the event of subscription cancellation, payment default, or billing failure by a Reseller, the Reseller’s administrative panel, cloned agency website, and all end-client sub-accounts/seats will be suspended immediately.
If the Reseller fails to cure the payment delinquency within the thirty (30) calendar day grace period, the account shall legally be designated as "Abandoned Infrastructure".
End-Client Continuity Safeguard: To mitigate collateral damage to third-party business owners and prevent permanent disruption of end-client websites, Pawebzar reserves the unilateral right—exercisable at its sole discretion and without constituting a legal obligation—to directly communicate with the owners of affected sub-accounts using contact details available within the system database, offering them the technical option to transfer and preserve their hosting directly with Pawebzar under standard public retail pricing. The Reseller unconditionally and irrevocably consents to this emergency salvage measure and waives all claims of tortious commercial interference, breach of confidentiality, or unfair competition arising therefrom.
7. ACCEPTABLE USE POLICY (AUP) AND PROHIBITED ACTIVITIES
You agree not to use Pawebzar’s platform, servers, or software to:
- Host, publish, or transmit content that is obscene, defamatory, unlawfully pornographic, promotes child exploitation, incites racial violence, or constitutes hate speech.
- Engage in phishing, credential harvesting, corporate brand impersonation (spoofing), or the distribution of malicious payloads (malware, spyware, ransomware, or rootkits).
- Promote deceptive pyramid schemes, Ponzi schemes, unauthorized financial investment solicitations, or illegal gambling.
- Infringe upon any patent, trademark, trade secret, copyright, or proprietary right of any third party.
- Transmit unsolicited bulk email, commercial spam, or participate in abusive traffic manipulation.
Violation of this section results in immediate, permanent account termination, content takedown without notice, and zero entitlement to refunds, without prejudice to any legal remedies pursued by Sadiam Fraga LLC.
8. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
- "As-Is" and "As-Available" Provision: Our services and software are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express, implied, or statutory. Pawebzar does not warrant that server uptime will be entirely uninterrupted, error-free, or resilient against catastrophic internet backhaul failures, upstream cloud host outages, or distributed denial-of-service (DDoS) attacks.
- No Commercial or Revenue Guarantees: Pawebzar disclaims any express or implied representations regarding commercial success, lead volume, organic search rankings (SEO), site visitor traffic, or specific revenue results.
- Aggregate Liability Cap: To the fullest extent permitted under applicable law, in no event shall Sadiam Fraga LLC, its directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or any loss of profits, data, goodwill, or business opportunities. The total aggregate liability of Sadiam Fraga LLC arising out of or related to this agreement shall be strictly capped at the total amount actually paid by the Client to Pawebzar during the three (3) months immediately preceding the event giving rise to liability.
9. GOVERNING LAW AND EXCLUSIVE JURISDICTION
This agreement, its construction, validity, performance, and interpretation shall be governed by, and construed in accordance with, the domestic substantive laws of the State of Colorado, United States of America, without giving effect to any principles of conflicts of law.
Any legal suit, action, dispute, or proceeding arising out of or relating to these Terms and Conditions or the breach thereof shall be instituted and litigated exclusively within the state courts located in the County of Weld, State of Colorado, or the United States District Court for the District of Colorado. Both parties irrevocably submit to the exclusive personal jurisdiction of such courts and expressly waive any objection based on improper venue or forum non conveniens.
